Textbooks

You are advised to use one of the following textbooks:

Birds et al, Boyle and Birds Company Law (Jordans, 2007)

Davis, Gower & Davis, Principles of Modern Company Law (Sweet & Maxwell, 2008).

These two textbooks have the advantage of including the Companies Act 2006. Most of the other Company Law textbooks have not yet been updated to cover the Act.

There are a number of good alternatives, including:

Dignam & Lowry, Company Law, (OUP, 2006)

Pettet, Company Law (Longman, 2nd edn, 2005)

Dine & Koutsias, Company Law (Palgrave Macmillan, 2007)

Mayson, French & Ryan on Company Law 2006-2007 (OUP, 2006)

Casebooks

You may find a casebook useful, and one that is particularly recommended is:

Sealy & Worthington, Cases and Materials in Company Law (Butterworths, 8th edn, 2007). This is also fully up-to-date.

Statutes

You will need to have access to various statutory materials, in particular the Companies Act 2006. It is convenient to have a book of statutes, incorporating relevant provisions of the new Act, for example, French, Statutes on Company Law (Blackstones Statute Book) (OUP, 2007).

Not all of the Act is in force yet, but for the purposes of the course we will assume that it is all in force.

The Act is also available with some useful information on the website of the Department of Business Enterprise and Regulatory Reform (previously the DTI), together with other information about the Act: index.html

You should bring your copy of the statutes to the seminars and lectures.

Background

You may find the following helpful as background reading:

Davis, Introduction to Company Law (OUP, 2002)

Cheffins, Company Law, Theory, Structure and Operation (OUP, 1997)

Journal articles

You will see many references in your reading to journal articles. The journal articles referred to in the seminar handouts are available online in Westlaw or Lexis-Nexis.
